Linda Sayler – ConsultantLinda Sayler is the former corporate secretary and senior corporate counsel for Safeway, Inc., a Fortune 50 company. While at Safeway, Linda oversaw the corporate governance function, including coordinating and attending Board, Committee and subsidiary meetings, SEC and NYSE compliance, and SOX implementation and compliance. She also handled insider trading and Section 16 compliance, and managed executive compensation and employee benefit plans. Prior to working with Safeway, Linda was corporate counsel with The Hartford Financial Services, Inc. where she was responsible for corporate governance and securities compliance. In addition, Ms. Sayler has been the legal advisor on many business transactions, including mergers, acquisitions, divestitures; public and private equity and debt offerings ($480 million to $1 billion); debt and hybrid securities offerings to finance a $1.12 billion acquisition; a stock option exchange tender offer and a stock option exchange tender offer/short-form merger of an 80% owned subsidiary. Linda was a banking, corporate and securities partner with the S.F. law firm of Lillick and Charles, now known as Nixon Peabody, from 1989 to 1998. She advised numerous clients, large and small, regarding general corporate, business and securities law matters.
